2. Acceptance of Terms
By accessing or using the Member Portal platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms.
3. Service Description
Member Portal is a subscription management platform that provides:
- Automated billing and invoicing for recurring subscriptions
- Payment processing integration with multiple providers
- Transactional email notifications (renewal reminders, receipts, failure alerts)
- Subscriber lifecycle management (upgrades, downgrades, cancellations)
- Reporting and analytics dashboards
The Service is provided "as is" and we continually work to improve functionality and reliability.
4. User Accounts and Responsibilities
When you create an account, you agree to:
- Provide accurate and complete registration information.
- Maintain the confidentiality of your account credentials.
- Notify us immediately of any unauthorized access to your account.
- Accept responsibility for all activities that occur under your account.
- Not share your account with third parties.
- Comply with all applicable laws and regulations in your jurisdiction.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
5. Payment Terms
- Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan).
- All prices are displayed in the currency indicated at the time of purchase and are inclusive of applicable taxes unless otherwise stated.
- Payment is processed through third-party payment providers (e.g., Stripe, PayPal). By providing payment information, you authorize us to charge the applicable fees.
- Failed payments will trigger automatic retry attempts. If payment cannot be collected after multiple attempts, your subscription may be suspended.
- Refunds are handled on a case-by-case basis. Contact billing@my-member-portal.com for refund requests.
6. Electronic Communications Consent
By creating an account, you consent to receive the following electronic communications from Member Portal:
- Subscription renewal reminders — Sent prior to billing dates.
- Payment confirmations and receipts — Sent after successful transactions.
- Payment failure notifications — Sent when a payment cannot be processed.
- Account security alerts — Sent for login attempts, password changes, and suspicious activity.
- Service update notifications — Sent for material changes to the platform.
- Legal notices — Sent for changes to these Terms, our Privacy Policy, or other legal documents.
You may opt out of promotional communications at any time via our unsubscribe page. However, transactional communications listed above are required while your account is active and cannot be disabled, as they are necessary for the performance of our contract with you.
7. Intellectual Property
All intellectual property rights in the Service — including but not limited to software, design, logos, trademarks, and documentation — are owned by MR Digital Services or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not:
- Copy, modify, or distribute any part of the Service.
- Reverse-engineer, decompile, or disassemble the software.
- Use the Service to build a competing product.
- Remove or alter any proprietary notices or labels.
8. Service Level Agreement (SLA)
- Uptime target: We target 99.5% uptime for the Member Portal platform, measured on a monthly basis.
- Planned maintenance: Scheduled maintenance will be performed during low-traffic windows (typically 02:00–06:00 UTC) with at least 48 hours advance notice via email.
- Exclusions: The uptime target does not apply to: (a) force majeure events, (b) third-party service outages beyond our control, (c) scheduled maintenance windows, (d) abuse or misuse of the Service by the user.
In the event of downtime exceeding our SLA target, affected customers may request a service credit by contacting support@my-member-portal.com.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- MR Digital Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
- Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
- We are not liable for any interruption, delay, or failure in the Service caused by factors outside our reasonable control.
10. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to:
- Acts of God (natural disasters, earthquakes, floods, storms)
- Government actions, sanctions, embargoes, or regulatory changes
- Internet or telecommunications outages
- Cyberattacks, including distributed denial-of-service (DDoS) attacks
- Pandemics or public health emergencies
- Wars, terrorism, civil unrest, or strikes
The affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact of the force majeure event.
11. Termination
- By you: You may cancel your subscription and close your account at any time by contacting support@my-member-portal.com. Cancellation takes effect at the end of your current billing period.
- By us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay outstanding fees after repeated notice.
- Effect of termination: Upon termination, your access to the Service will cease. We will retain your data in accordance with our Privacy Policy retention schedule.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Morocco. For EU-based customers, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.
